Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the AdsCert platform, websites, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
Accounts & eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. You agree to provide accurate account information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Use of the Services
You agree to use the Services in accordance with applicable laws, regulations, and these Terms. You will not: (a) attempt to interfere with or disrupt the Services; (b) reverse engineer or decompile any software associated with the Services; (c) use the Services to transmit malware or spam; or (d) infringe the rights of third parties.
Customer data
“Customer Data” means information submitted, collected, or generated through your use of the Services. You retain ownership of Customer Data. You grant AdsCert a limited license to process Customer Data solely to provide and improve the Services in accordance with our agreements and the Privacy Policy.
Fees & payment
Unless otherwise agreed in an Order, fees are billed in advance on a subscription basis. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for all taxes, duties, and government charges associated with the Services.
Confidentiality
Each party agrees to protect the other party’s confidential information with the same degree of care it uses to protect its own confidential information, but not less than reasonable care. Confidential information may be disclosed to employees, contractors, and advisors who need to know it and are bound by confidentiality obligations.
Intellectual property
AdsCert owns all rights, title, and interest in and to the Services, including software, documentation, and brand elements. Except for the limited rights granted in these Terms, no license or other rights are granted to you.
Feedback
Any feedback, suggestions, or ideas you provide may be used by AdsCert without restriction. You grant us a perpetual, irrevocable, royalty-free license to use feedback for any purpose.
Third-party services
The Services may integrate with third-party platforms. AdsCert is not responsible for third-party services and disclaims all liability arising from your use of them.
Warranties & disclaimers
AdsCert provides the Services “as is” and disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. AdsCert does not guarantee that the Services will be uninterrupted, secure, or error-free.
Limitation of liability
To the maximum extent permitted by law, AdsCert’s total liability arising out of or relating to these Terms or the Services will not exceed the fees paid by you in the 12 months preceding the claim. AdsCert is not liable for indirect, incidental, consequential, special, or exemplary damages.
Indemnification
You will indemnify and hold AdsCert and its officers, directors, employees, and agents harmless from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.
Term & termination
These Terms remain in effect until terminated. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within 30 days. Upon termination, you must stop using the Services and pay any outstanding fees.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.
Updates to Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice via the Services or email. Continued use of the Services after the updated Terms become effective constitutes acceptance.
